Terms of Use

These Terms of Use (the "Terms") set out the conditions for using "BoarderX" (the "Service"), an AI workspace application provided by Amazing TX LLC (the "Company"). By accessing or using the Service, you agree to be bound by these Terms.

Article 1 (Application)

These Terms apply to the conditions under which the Service is provided and to the rights and obligations between the Company and users. Any guidelines or rules separately established by the Company within the Service form part of these Terms.

Article 2 (Definitions)

• "AI Agent" means an AI character that converses and responds within the Service.
• "Board" means a workspace that serves as the unit of a conversation.
• "Decision" means a record of a decision captured from a conversation.
• "Workspace" means an organizational unit shared by multiple members under the Team plan.
• "BYOK" means the method by which a user registers and uses their own AI provider API key within the Service.

Article 3 (Account Registration)

Users must register using accurate information. Users are responsible for managing their account and authentication credentials, and may not lend or share them with any third party.

Article 4 (Service Description)

The Service provides an AI workspace for individuals and teams in which multiple AI Agents and team members can converse on the same Board and accumulate Decisions. The features provided vary by plan.

Article 5 (Fees and Plans)

The Service is offered on a monthly subscription basis. The plans and fees are as follows (prices are in US dollars).

• Free: $0 (with limits on the number of Boards, AI Agents, and Decisions)
• Pro: $12 / month
• Team: $75 / month (includes Workspace sharing features)

The specific limits and features of each plan are as displayed within the Service. The Company may change its fees or plan contents and, in such cases, will provide prior notice.

Article 6 (Payment Methods)

Fees are charged via in-app purchase (IAP) through the Apple App Store or Google Play on the iOS and Android versions, and via Stripe on the web version. The terms and fees of each payment provider apply.

Article 7 (Automatic Renewal and Cancellation)

Subscriptions automatically renew on each renewal date unless the user cancels. Cancellation can be made through each store's subscription management screen or through the settings on the web version. Even after cancellation, paid features remain available until the end of the current billing period.

Article 8 (Refunds)

Fees already paid are non-refundable for any reason. Refunds for in-app purchases are governed by the respective refund policies of Apple and Google.

Article 9 (BYOK / API Keys)

Users may register their own AI provider API keys to use the Service. Registered API keys are stored in encrypted form, are not used for any purpose other than calling AI Agents, and are not provided to any third party. Any usage fees charged by the respective AI providers in connection with the use of an API key are borne by the user.

Article 10 (Characteristics of AI and Generated Output)

Responses and output generated by AI Agents are provided on an "AS IS" and "AS AVAILABLE" basis, and the Company makes no warranty, express or implied, as to their accuracy, completeness, usefulness, or legality, or as to their non-infringement of third-party intellectual property rights. Use of AI output is at the user's own risk, and the Company assumes no liability for any results arising therefrom.

Article 11 (User Responsibilities)

Users use the Service at their own responsibility and warrant that they hold the rights necessary for any information they input or post.

Article 12 (Intellectual Property)

All intellectual property rights in and relating to the Service belong to the Company or its rightful owners. Rights to content that a user inputs or creates remain with the user; however, the Company may use such content to the extent necessary to provide the Service.

Article 13 (Prohibited Conduct)

• Acts that violate laws or public order and morals
• Acts that infringe the rights of third parties
• Acts that interfere with the operation of the Service, unauthorized access, or reverse engineering
• Generating or distributing illegal or harmful content through the Service
• Imposing an unreasonable or disproportionately large load on the Service's infrastructure, servers, or network, or misusing automated tools to cause significant strain

Article 14 (Handling of Data)

The handling of personal information and usage data is governed by the separately established "Privacy Policy."

Article 15 (Changes, Suspension, and Termination of the Service)

The Company may, with prior notice to users (or after the fact in cases of emergency), change the contents of the Service or suspend or terminate its provision.

Article 16 (Disclaimer and Limitation of Liability)

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY SHALL NOT BE LIABLE for any damage incurred by users in connection with the Service, except in cases of the Company's willful misconduct or gross negligence. Even where the Company is liable, the scope of such liability shall be limited to the amount the user paid to the Company during the twelve (12) months immediately preceding the occurrence of the relevant event. The Company shall bear no liability whatsoever for any damage incurred by users arising from specification changes, malfunctions, or service outages of linked third-party services (including AI providers such as OpenAI, Anthropic, and Google, and payment services such as the Apple App Store, Google Play, and Stripe).

Article 17 (Amendments to the Terms)

The Company may amend these Terms as necessary. The amended Terms take effect from the time they are posted within the Service or otherwise notified by a method designated by the Company.

Article 18 (Governing Law and Jurisdiction)

These Terms are governed by and construed in accordance with the laws of the State of Texas, United States. Any disputes relating to the Service shall be subject to the exclusive agreed jurisdiction of the courts of that state.
